WIN 64BIT CRASHING

Hi

    i purchased win 64 bit to install but after it saves and does a restart it keeps crashing i got this window which popped up saying

software instalation

has not passed windows logo testing to verify its compatability with this version of windows.

i have checked with asus, ati, they all say my system is compatable and the os should install any help would be most grateful.

purchased the os 3days ago.

i am only installing the operating system on sata hard drive with asus sata 64 bit drivers ( promise 378 )

heres my system

ASUS K8V-SE-DELUXE MOTHERBOARD

AMD 64 BIT SEMPRON CPU 3000+

1GB PC3200 MEMORYMAX  1GB PC3200 HYINNX 2GB TOTAL

32 MB ATI 7000 GRAPHICS CARD upgraded to geforce n6200 256mb graphics card

120 GB SATA WESTERN DIGITAL HARD DRIVE

did not install any other software as just started with the 64bit os hope this is a help

      after it goes through the saving of the settings it closes for final boot to win64 but does not just keeps on restarting showing the options

safe mode

safe mode with networking support etc

 tried to get into them but did not go

just restarted to post screen to load win xp pro 64bit

installs win xp pro ( 32bit ) with no problems.
